Los presentes Términos y Condiciones (los "Términos") rigen la relación entre PENINSULAWYERS, despacho jurídico con domicilio en Mérida, Yucatán, México (el "Despacho"), y la persona física o moral que contrata la membresía The Legal Front™ (el "Miembro"), respecto del inmueble identificado en el proceso de contratación (el "Inmueble").
La aceptación de estos Términos se perfecciona mediante la contratación electrónica y el pago de la primera anualidad. El Miembro declara haber leído íntegramente este documento con anterioridad al pago.
These Terms and Conditions (the "Terms") govern the relationship between PENINSULAWYERS, a law firm with offices in Mérida, Yucatán, Mexico (the "Firm"), and the individual or entity subscribing to The Legal Front™ membership (the "Member"), with respect to the property identified during enrolment (the "Property").
These Terms are accepted through electronic enrolment and payment of the first annual fee. The Member represents that this document was read in full before payment was taken.

Naturaleza del servicio
La membresía es un CONTRATO DE PRESTACIÓN DE SERVICIOS PROFESIONALES BAJO IGUALA. No es un seguro, una fianza, una garantía de resultado, ni un producto de asistencia legal en términos de la Ley de Instituciones de Seguros y de Fianzas.
El Despacho no indemniza al Miembro por pérdida alguna. El Despacho presta servicios jurídicos: prevención, asesoría y representación, los cuales se cumplen con recursos e instalaciones propias del Despacho, sin que éste se obligue a resarcir daño alguno ni a pagar prestación en dinero al Miembro. Ninguna disposición de estos Términos deberá interpretarse como una obligación de resultado.
Nature of the service
The membership is a PROFESSIONAL SERVICES RETAINER AGREEMENT. It is not insurance, a surety, a guarantee of outcome, or a legal-assistance product within the meaning of Mexican insurance and surety legislation.
The Firm does not indemnify the Member against any loss. The Firm renders legal services — prevention, advice, and representation — which are performed with the Firm's own personnel and facilities, and the Firm does not undertake to make good any loss or to pay any sum of money to the Member. Nothing in these Terms shall be construed as a guarantee of any particular result.

Alcance según nivel
La membresía se contrata POR INMUEBLE y por anualidad, en uno de tres niveles: SEAWALL, BREAKWATER o LIGHTHOUSE. El detalle de servicios incluidos, cupos de revisión documental, número de llamadas, tiempos de respuesta y porcentaje de descuento aplicable a cada nivel se encuentra en el Anexo A, que forma parte integrante de estos Términos.
El nivel LIGHTHOUSE ampara hasta tres inmuebles; cada inmueble adicional causa la contraprestación señalada en el Anexo A.
Scope by tier
Membership is contracted PER PROPERTY and per annual term, at one of three tiers: SEAWALL, BREAKWATER, or LIGHTHOUSE. The services included, document-review allowances, number of calls, response times, and applicable discount for each tier are set out in Schedule A, which forms an integral part of these Terms.
The LIGHTHOUSE tier takes in up to three properties; each additional property carries the fee stated in Schedule A.

Consulta y Asunto
ESTA CLÁUSULA DEFINE EL ALCANCE DE LOS SERVICIOS ILIMITADOS Y DEBE LEERSE CON ATENCIÓN.
CONSULTA (incluida sin límite de número): pregunta que el Despacho puede atender en aproximadamente quince minutos de tiempo profesional, sin elaborar documentos, sin revisar documentación que exceda el cupo del nivel contratado, sin comunicarse con terceros por cuenta del Miembro y sin presentar promoción alguna ante autoridad.
ASUNTO (cotizado a tarifa de Miembro): todo servicio que requiera redacción, revisión que exceda el cupo, negociación, representación, comunicación con terceros, o presentación ante autoridad administrativa o judicial.
El Despacho informará al Miembro, POR ESCRITO Y CON ANTELACIÓN, cuando una solicitud constituya un Asunto, y presentará la cotización correspondiente. El Miembro nunca recibirá una factura por servicios que no haya autorizado previamente.
Uso razonable: si un patrón de Consultas constituye en sustancia un Asunto, el Despacho podrá reclasificarlo previa notificación por escrito y cotización, sin efecto retroactivo.
Consultation and Matter
THIS CLAUSE DEFINES THE SCOPE OF THE UNLIMITED SERVICES AND SHOULD BE READ CAREFULLY.
CONSULTATION (included, unlimited in number): a question the Firm can address in approximately fifteen minutes of professional time, without drafting a document, without reviewing documentation exceeding the tier allowance, without contacting third parties on the Member's behalf, and without any filing before an authority.
MATTER (quoted at the Member rate): any service requiring drafting, review exceeding the allowance, negotiation, representation, third-party contact, or any filing before an administrative or judicial authority.
The Firm will notify the Member IN WRITING AND IN ADVANCE whenever a request constitutes a Matter, and will provide a quotation. The Member will never receive an invoice for services not previously authorised.
Fair use: where a pattern of Consultations amounts in substance to a Matter, the Firm may reclassify it upon prior written notice and quotation, without retroactive effect.

Revisión Legal Anual
El Despacho entregará al Miembro, en cada aniversario de contratación, un informe escrito sobre el Inmueble que comprenderá: (i) certificado de libertad de gravamen vigente expedido por el Registro Público de la Propiedad; (ii) confirmación del estado de inscripción de la escritura; (iii) situación del impuesto predial; (iv) revisión del fideicomiso, cuando aplique, incluyendo comisión anual, plazo remanente y designación de fideicomisarios sustitutos; (v) reporte de seguimiento del desarrollo o condominio; y (vi) recomendaciones con cotización a tarifa de Miembro.
La Revisión Legal Anual es un informe de estado sobre el Inmueble. No constituye un dictamen de titularidad, una garantía de saneamiento para el caso de evicción, ni sustituye la debida diligencia propia de una operación de adquisición o enajenación, la cual se contrata por separado como Asunto en términos de la cláusula 03.
El informe se emite con la información disponible en las fuentes públicas consultadas a la fecha de su elaboración; dichas fuentes y la fecha de consulta se hacen constar en el propio informe.
El Despacho no responde por omisiones, errores o retrasos imputables a las autoridades registrales, catastrales o fiduciarias, ni a cualquier otro tercero ajeno al Despacho. Esta limitación no comprende ni excluye la responsabilidad del Despacho por negligencia, impericia o dolo en la elaboración del informe, en términos del artículo 2615 del Código Civil Federal.
Annual Legal Health Check
On each enrolment anniversary the Firm will deliver a written report on the Property comprising: (i) a current certificate of freedom from encumbrances issued by the Public Registry of Property; (ii) confirmation of the deed's registration status; (iii) property tax standing; (iv) trust (fideicomiso) review where applicable, including annual fee, remaining term, and designation of substitute beneficiaries; (v) a watch report on the development or condominium; and (vi) recommendations quoted at the Member rate.
The Annual Legal Health Check is a status report on the Property. It is not a title opinion, not a warranty against eviction, and not a substitute for the due diligence proper to a purchase or sale, which is contracted separately as a Matter under clause 03.
The report is issued on the basis of information available from the public sources consulted as at the date of preparation; those sources and the date of consultation are recorded in the report itself.
The Firm is not responsible for omissions, errors, or delays attributable to registry, cadastral, or trustee authorities, or to any other third party outside the Firm. This limitation neither covers nor excludes the Firm's liability for negligence, lack of skill, or wilful misconduct in preparing the report, under article 2615 of the Federal Civil Code.

Exclusiones
La membresía NO comprende: (i) asuntos ya iniciados a la fecha de contratación, que continuarán rigiéndose por su carta compromiso previa; (ii) materia penal, familiar y laboral; (iii) asuntos fuera de Yucatán, Quintana Roo y Baja California Sur; (iv) asuntos en contra de otro Miembro del Despacho; (v) costas judiciales y derechos gubernamentales; y (vi) honorarios de terceros: notario, registro, avalúo, traducción y apostilla.
Los servicios de litigio y procedimiento ante PROFECO no se encuentran incluidos; se prestan a tarifa de Miembro con aplicación del crédito señalado en el Anexo A.
Exclusions
The membership does NOT include: (i) matters already open at the enrolment date, which remain governed by their prior engagement letter; (ii) criminal, family, and employment law; (iii) matters outside Yucatán, Quintana Roo, and Baja California Sur; (iv) matters adverse to another Member of the Firm; (v) court costs and government duties; and (vi) third-party fees: notary, registry, appraisal, translation, and apostille.
Litigation and PROFECO proceedings are not included; they are rendered at the Member rate with application of the credit set out in Schedule A.

Honorarios, IVA y facturación
Los honorarios se expresan en dólares de los Estados Unidos de América y se cubren por anualidad anticipada mediante la plataforma de pagos del Despacho.
Las contraprestaciones señaladas en el Anexo A son cantidades totales e incluyen el impuesto al valor agregado que, en su caso, legalmente corresponda. No se adicionará importe alguno por concepto de impuestos al momento del pago.
El Despacho determinará la tasa aplicable conforme a la legislación fiscal vigente y emitirá el Comprobante Fiscal Digital por Internet que proceda respecto de cada pago. Tratándose de Miembros que no cuenten con Registro Federal de Contribuyentes, el comprobante se emitirá con la clave genérica que la normativa fiscal prevea para residentes en el extranjero. Cualquier variación en la tasa aplicable no modificará la cantidad total a cargo del Miembro.
Fees, VAT and invoicing
Fees are denominated in United States dollars and are payable annually in advance through the Firm's payment platform.
The fees set out in Schedule A are total amounts and include any value added tax legally due. No tax is added at the moment of payment.
The Firm determines the applicable rate under the tax legislation in force and issues the corresponding Mexican digital tax receipt (CFDI) for each payment. For Members without a Mexican taxpayer registration, the receipt is issued under the generic key that tax rules provide for foreign residents. Any change in the applicable rate does not change the total amount payable by the Member.

Vigencia y renovación
La membresía tiene una vigencia de doce meses contados a partir del pago inicial y se renueva por periodos iguales mediante cargo automático, previo consentimiento expreso del Miembro otorgado al momento de la contratación.
El Despacho notificará al Miembro la renovación próxima con SESENTA y con CATORCE días naturales de anticipación, informando la periodicidad del cobro, el importe a cargar, la fecha del cargo y el medio para cancelar la renovación sin penalización alguna. La ausencia de respuesta del Miembro no se interpretará como consentimiento adicional.
La tarifa de Miembro Fundador se mantiene durante los tres primeros periodos de renovación y posteriormente se ajusta a la tarifa de lista vigente, previo aviso.
Term and renewal
The membership runs for twelve months from the initial payment and renews for equal periods by automatic charge, subject to the Member's express consent given at enrolment.
The Firm will notify the Member of the upcoming renewal SIXTY and FOURTEEN calendar days in advance, stating the billing frequency, the amount to be charged, the charge date, and how to cancel the renewal without penalty. The Member's silence shall not be construed as further consent.
The Founding Member rate is held for the first three renewal periods and thereafter adjusts to the then-current list rate, upon prior notice.

Revocación y cancelación
El Miembro podrá revocar su consentimiento y obtener la devolución íntegra de lo pagado, sin expresión de causa y sin penalización alguna, dentro del plazo que resulte mayor entre SIETE días naturales y CINCO días hábiles, contados a partir de la contratación, mediante simple comunicación al correo del Despacho.
Con posterioridad a dicho plazo, el Miembro podrá cancelar la membresía y su renovación automática en cualquier momento y de manera inmediata, desde el portal de facturación, sin llamada, justificación ni trámite adicional y sin penalización alguna. La cancelación surte efectos de inmediato respecto de la renovación automática; los servicios correspondientes al periodo ya pagado permanecen a disposición del Miembro hasta su término, salvo que éste solicite la terminación anticipada. Los servicios ya prestados no son reembolsables.
Revocation and cancellation
The Member may revoke consent and obtain a full refund, without cause and without penalty, within whichever is longer of SEVEN calendar days or FIVE business days from enrolment, by simple written notice to the Firm.
After that period, the Member may cancel the membership and its automatic renewal at any time and immediately, through the billing portal — no call, no justification, no further step, and no penalty. Cancellation takes immediate effect as to the automatic renewal; the services for the period already paid remain available to the Member until it ends, unless the Member asks to end them earlier. Services already rendered are non-refundable.

Conflictos de interés
El Despacho declara no tener vínculo societario, comercial ni de comisión con desarrolladores, promotores, corredores o vendedores de bienes inmuebles en la Península de Yucatán, y se obliga a mantener dicha independencia durante la vigencia de la membresía.
El Despacho realizará un cribado de conflictos previo a la aceptación de cada Miembro. El Miembro reconoce que el Despacho puede representar a diversos propietarios dentro de un mismo desarrollo o condominio y otorga su conformidad, en el entendido de que el Despacho no representará intereses contrapuestos entre Miembros.
Conflicts of interest
The Firm represents that it holds no corporate, commercial, or commission relationship with any developer, promoter, broker, or seller of real estate in the Yucatán Peninsula, and undertakes to maintain that independence throughout the membership term.
The Firm will run a conflict screening before accepting each Member. The Member acknowledges that the Firm may represent several owners within the same development or condominium and consents to this, on the understanding that the Firm will not represent adverse interests as between Members.

Confidencialidad y datos
La información y documentación que el Miembro proporcione está amparada por el secreto profesional. El Despacho tratará los datos personales conforme a su Aviso de Privacidad, disponible en peninsulawyers.com, y a la Ley Federal de Protección de Datos Personales en Posesión de los Particulares.
Los documentos depositados en el expediente digital se conservan cifrados durante la vigencia de la membresía y por los plazos legales aplicables. A la terminación, el Miembro podrá solicitar su entrega o supresión.
Confidentiality and data
Information and documentation provided by the Member is protected by professional privilege. The Firm processes personal data in accordance with its Privacy Notice, available at peninsulawyers.com, and with Mexican personal data protection legislation.
Documents held in the digital vault are stored encrypted for the membership term and for applicable statutory retention periods. On termination, the Member may request delivery or deletion.

Limitación de responsabilidad
La responsabilidad del Despacho derivada de estos Términos se limita, por evento y en el agregado por cada anualidad, a la cantidad que resulte mayor entre diez veces la contraprestación anual efectivamente pagada por el Miembro respecto del periodo en que hubiere ocurrido el hecho que la motive, y USD $10,000.00 (diez mil dólares de los Estados Unidos de América).
Esta limitación no opera en caso de dolo ni de negligencia grave. La renuncia a exigir la responsabilidad procedente de dolo es nula en términos del artículo 2106 del Código Civil Federal.
Conforme al artículo 2110 del Código Civil Federal, los daños y perjuicios resarcibles serán únicamente los que sean consecuencia inmediata y directa del incumplimiento.
El Despacho no responde por: actos u omisiones de autoridades, notarios, fiduciarias o terceros; información falsa o incompleta proporcionada por el Miembro; ni por decisiones adoptadas por el Miembro en contra de la recomendación escrita del Despacho.
Limitation of liability
The Firm's liability under these Terms is limited, per event and in the aggregate for each annual term, to whichever is greater of ten times the annual fee actually paid by the Member for the period in which the triggering event occurred, and USD $10,000.00 (ten thousand United States dollars).
This limitation does not operate in cases of wilful misconduct or gross negligence. A waiver of liability arising from wilful misconduct is void under article 2106 of the Federal Civil Code.
Under article 2110 of the Federal Civil Code, recoverable damages are only those that are an immediate and direct consequence of the breach.
The Firm is not liable for: acts or omissions of authorities, notaries, trustees, or third parties; false or incomplete information supplied by the Member; or decisions taken by the Member contrary to the Firm's written recommendation.

Ley aplicable y jurisdicción
Estos Términos se rigen por las leyes de los Estados Unidos Mexicanos. Para su interpretación y cumplimiento, las partes se someten a la jurisdicción de los tribunales competentes de la ciudad de Mérida, Yucatán.
Lo anterior se entiende sin perjuicio de los derechos irrenunciables que correspondan al Miembro con el carácter de consumidor, incluida la competencia de la Procuraduría Federal del Consumidor en la vía administrativa, ante la cual el Miembro puede acudir en cualquier momento. Ninguna disposición de estos Términos limita ese derecho.
Los presentes Términos se emiten en español e inglés. En caso de discrepancia entre ambas versiones, prevalecerá el texto en español.
Governing law and jurisdiction
These Terms are governed by the laws of the United Mexican States. For their interpretation and performance, the parties submit to the competent courts of the city of Mérida, Yucatán.
The foregoing is without prejudice to the non-waivable rights of a Member who qualifies as a consumer, including the administrative competence of the Federal Consumer Protection Agency (PROFECO), to which the Member may turn at any time. Nothing in these Terms limits that right.
These Terms are issued in Spanish and English. In the event of any discrepancy between the two versions, the Spanish text shall prevail.
ACEPTACIÓN ELECTRÓNICA · ELECTRONIC ACCEPTANCE
Al completar el pago, el Miembro manifiesta su consentimiento expreso a estos Términos, incluida la renovación automática prevista en la cláusula 07.
By completing payment, the Member expressly consents to these Terms, including the automatic renewal provided for in clause 07.
Niveles, Servicios y ContraprestacionesTiers, Services and Fees
Este Anexo forma parte integrante de los Términos y se incorpora por referencia a las cláusulas 02, 03 y 05. En caso de discrepancia entre este Anexo y el cuerpo de los Términos, prevalecerán los Términos. · This Schedule forms an integral part of the Terms and is incorporated by reference into clauses 02, 03 and 05. In the event of any discrepancy, the Terms prevail.

A.4 · Crédito para controversias · Dispute credit. A.5 · Buyer's Pass. Contraprestación única de $950 USD, IVA incluido, con vigencia de seis meses, para adquirentes que aún no han escriturado. Comprende debida diligencia registral y de título, antecedentes y litigios del desarrollador, revisión contractual con observaciones, análisis de cumplimiento NOM-247, auditoría de gastos de cierre y coordinación notarial. Incluye el primer año del nivel Seawall al momento de la escrituración. · A one-time fee of $950 USD, VAT included, valid for six months, for buyers who have not yet closed. It includes the first year of the Seawall tier upon closing; the difference toward a higher tier is payable separately.
A.6 · Tarifa de Miembro Fundador · Founding Member rate. Cincuenta por ciento de descuento sobre la tarifa de lista, sostenido durante los tres primeros periodos de renovación. A partir del cuarto periodo, la contraprestación se ajusta automáticamente a la tarifa de lista vigente, previo aviso conforme a la cláusula 07. Sujeta a disponibilidad y a la vigencia de la invitación correspondiente. · A fifty per cent discount on the list rate, held for the first three renewal periods, adjusting automatically to the then-current list rate from the fourth period upon prior notice under clause 07. Subject to availability and to the validity period of the corresponding invitation.
